TERMS AND CONDITIONS FOR PRO BONO CONSULTING SERVICESEXPERTRAIT CONSULTING AND MANAGEMENT LTD
1. Introduction
ExperTrait Consulting and Management Ltd (“ExperTrait,” “we,” “our,” or “us”) is committed to giving back to the community through its Corporate Social Responsibility (CSR) initiative by providing pro bono consulting services to selected organizations. These Terms and Conditions outline the scope, responsibilities, and limitations of our pro bono engagements.
2. Eligibility for Pro Bono Services
Pro bono consulting services are available to:
- Non-Profit Organizations (NPOs) and NGOs with a clear social impact mission.
- Small and Medium Enterprises (SMEs) with limited financial resources and significant community impact.
- Government or community-led initiatives aimed at economic development.
ExperTrait will select a maximum of five (5) beneficiaries per quarter based on merit, need, and alignment with our expertise. We reserve the right to approve or reject applications at our sole discretion.
3. Scope of Services
Pro bono services may include, but are not limited to:
- Business strategy and model development
- Corporate governance advisory
- Marketing and branding strategies
- Financial planning and sustainability strategies
- Market research and feasibility studies
- Organizational development and capacity building
- Digital transformation and technology integration
The exact nature and duration of services will be determined on a case-by-case basis.
4. Duration and Engagement Terms
- Pro bono services are provided for a specified period, typically ranging from one to three months, unless otherwise agreed.
- The engagement does not create a legal obligation for ExperTrait to continue services beyond the agreed-upon period.
- All pro bono engagements are subject to periodic review to assess progress and impact.
5. Responsibilities of Beneficiaries Organizations receiving pro bono services must:
- Provide complete and accurate information to facilitate effective consulting.
- Ensure timely communication and responsiveness.
- Implement recommended strategies where feasible and provide feedback.
- Acknowledge ExperTrait’s contribution in reports or public communications (where applicable).
6. Limitations of Liability
- The consulting services are provided “as is” with no warranties or guarantees regarding specific outcomes.
- ExperTrait is not liable for any financial, legal, or operational consequences arising from the implementation of its recommendations.
- The engagement does not constitute a client-consultant contractual relationship beyond the pro bono arrangement.
7. Confidentiality
- Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the engagement.
- No confidential information shall be disclosed to third parties without prior consent unless required by law.
8. Termination of Services
ExperTrait reserves the right to terminate the pro bono engagement if:
- The beneficiary organization fails to meet its obligations.
- There is misuse or misrepresentation of the services provided.
- Unforeseen circumstances prevent the continuation of services.
9. Amendments and Modifications
ExperTrait reserves the right to modify these Terms and Conditions at any time. Any changes will be communicated to the beneficiaries as necessary.
10. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising shall be resolved through mutual negotiation or legal arbitration as necessary.
